Terms of Service

Welcome to HomeIndex. These Terms of Service ("Terms") govern your access to and use of the HomeIndex website located at homeindex.co and all related services, applications, and features (collectively, the "Service") provided by Covala, Inc. ("Covala," "we," "us," or "our"), a Delaware corporation.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

HomeIndex is a digital home inventory application that enables users to catalog, manage, and document the products and belongings in their homes. The Service includes, but is not limited to:

• Searching a product catalog to add items with pre-populated specifications, manuals, and maintenance information
• Home inventory management with room-by-room organization
• Maintenance tracking and reminders based on manufacturer recommendations
• An AI-powered assistant to help with product questions and home management
• Insurance-ready export reports for documentation and claims
• Document and photo storage for receipts, warranties, and manuals

HomeIndex is currently in a pre-launch phase. Certain features may be under development, available only to waitlist members, or subject to change prior to general availability. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

To access most features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years of age to create an account and use the Service. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

HomeIndex offers the following plans:

• Free Plan: Track up to 50 products with basic features at no cost.
• Monthly Plans: Paid subscription plans starting at $9 per month and $19 per month, offering expanded inventory limits and additional features.
• Lifetime Plan: A one-time payment of $149 for lifetime access to premium features.

Plan features, pricing, and limits are subject to change. We will provide reasonable notice of any pricing changes to existing subscribers.

Billing. Monthly subscriptions are billed in advance on a recurring basis. Payment is due at the start of each billing cycle. All fees are stated in U.S. dollars unless otherwise indicated.

Cancellation and Refunds. You may cancel your monthly subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date. Refunds for monthly plans are not provided for partial billing periods. Lifetime plan purchases are non-refundable except as required by applicable law.

Free Plan Limits. If you exceed the free plan limits, you will be prompted to upgrade to a paid plan. We will not delete your existing data, but you may not be able to add new items until you upgrade or remove items to fall within the free tier limits.

Your Content. You retain ownership of all content you upload, submit, or store through the Service, including but not limited to photographs, receipts, product information, documents, notes, and other materials ("User Content"). By uploading User Content, you grant Covala a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service.

Responsibility for Content. You are solely responsible for your User Content and represent that you have all necessary rights to upload and use such content. You agree not to upload content that infringes on the intellectual property rights of others, is unlawful, or violates these Terms.

Data Portability. You may export your inventory data at any time through the Service's export features. Upon account deletion, we will remove your User Content from our active systems within 30 days, though residual copies may remain in backups for a limited period as described in our Privacy Policy.

Product Catalog Data. The product catalog, specifications, manuals, and other reference data available through the Service are provided for informational purposes. While we strive for accuracy, we do not guarantee that all product information is complete, current, or error-free.

The Service, including its design, features, functionality, product catalog, and all associated software, text, graphics, logos, and trademarks, is owned by Covala, Inc. and is protected by United States and international intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. You may not:

• Copy, modify, or create derivative works based on the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or alter any proprietary notices or labels on the Service
• Use the Service for any commercial purpose without our prior written consent
• Scrape, harvest, or extract data from the product catalog or Service for use outside the Service

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to the Service, other user accounts, or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use automated tools, bots, or scripts to access or interact with the Service, except through our official APIs
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Service to create a competing product or service
• Submit false insurance claims or use the Service to facilitate fraud of any kind
• Upload content that is defamatory, obscene, or otherwise objectionable

We reserve the right to investigate and take appropriate action, including suspending or terminating your account, for any violation of this section.

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in our Privacy Policy.

We use industry-standard encryption and security measures to protect your data. We do not sell your personal information or inventory data to third parties. Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Product Information Disclaimer. Product specifications, maintenance recommendations, and other catalog data provided through the Service are for informational purposes only. We do not guarantee the accuracy, completeness, or timeliness of this information. You should verify critical product information independently, particularly for insurance, safety, or warranty purposes.

AI Features. The AI-powered features of the Service, including the AI assistant, generate responses based on available data and may not always be accurate. AI-generated suggestions and recommendations should not be relied upon as professional advice. Always verify important information independently.

Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COVALA, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Insurance Disclaimer. HomeIndex is not an insurance product and does not provide insurance coverage or advice. Inventory reports generated by the Service are intended to assist with documentation only. We make no representations about the sufficiency of such reports for any insurance claim, and we are not responsible for the outcome of any claim filed using information from the Service.

By You. You may terminate your account at any time by using the account deletion option in your settings or by contacting us at support@homeindex.co. Upon termination, your right to use the Service will cease immediately.

By Us. We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms. In the case of termination for cause, we are not obligated to provide a refund.

Effect of Termination. Upon termination, we will make your data available for export for a period of 30 days, after which we may delete your User Content from our active systems. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and dispute resolution.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on the Service with a revised "Last updated" date and, where appropriate, by sending you an email notification.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved informally within 30 days, either party may initiate binding arbitration under the rules of the American Arbitration Association. The arbitration shall take place in the State of Delaware, and the arbitrator's decision shall be final and binding.

You agree that any proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. Nothing in these Terms prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Covala, Inc. regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure. We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control.
